Terms of Service

These Terms of Service are a binding agreement between you and AXS Group Inc, a California corporation that operates the Preplet application and related services ("Preplet," "we," "us," or "our"). Preplet is available as a web application at preplet.ai and as a mobile app for iOS and Android; a single Preplet account works across all of them, and paid subscriptions may be purchased either inside the mobile app through Apple's In-App Purchase or Google Play Billing, or on the web at preplet.ai. By creating an account or using the Services, you agree to these Terms.


1. Content Usage Policy

Preplet is designed to help students and learners generate study materials, quizzes, flashcards, and notes using artificial intelligence, and to collaborate in small study groups through our CoWork Sessions feature. We take the responsible use of our platform seriously and require all users to observe the following guidelines.

Compliance with Institutional Policies

Users must not input, upload, or submit any material that violates the policies of their school, college, university, workplace, or instructor. It is your responsibility to understand and comply with your institution's rules regarding the use of AI tools, the recording of educational materials, and the distribution of academic content.

Adherence to Copyright Law

Users must not submit copyrighted material to the Services unless they have obtained explicit permission from the copyright holder or the use is otherwise permitted by law. This includes text, images, lecture materials, textbook content, audio recordings, and any other form of copyrighted work. Preplet processes submitted content through AI to generate study materials, but this does not grant any license to the underlying copyrighted material. See Section 6 (Content and Copyright Policy) and Section 13 (DMCA) for additional detail.

Respecting Privacy

Users are prohibited from submitting sensitive personal information belonging to others, including private conversations, confidential communications, health information, financial data, or any content that would breach privacy laws and regulations in the United States. Do not submit content containing Social Security numbers, medical records, financial account details, passwords, or other sensitive personal data.

Liability

Preplet does not pre-screen user-submitted content. We run automated content safety filters on images and AI interactions through Preplet AI, and we run a client-side profanity filter on direct user-to-user text in CoWork Chat and on the CoWork Board, but we do not review content in advance. We are not liable for content submitted by users that violates institutional policies, copyright law, or privacy regulations. By using the Services, you agree to indemnify and hold harmless Preplet and its operators against any claims, damages, or legal actions arising from your use of the Services or any content you submit.


2. License to Use the Services

Subject to your compliance with these Terms, Preplet grants you a limited, personal, non-exclusive, non-commercial, revocable, and non-transferable license to access and use the Services for your personal educational purposes.

Subscriptions are for individual use only. Preplet may establish reasonable limits on your use of the Services, including limits on the number of quizzes generated, content processed, Preplet AI calls per minute and per day, or devices used, to prevent abuse or unauthorized access.


3. Account Registration and Age Requirements

Account Creation

To access the Services, you must create an account by providing a display name, email address, and birth month and year, and either signing in through Google or Apple, or creating credentials with an email and password. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. For a user under 13 (Kid Mode), we collect only a parent or guardian email address and the child's birth month and year; the parent email is used to obtain and record verifiable parental consent as described in the Kid Mode section below.

Minimum Age

Preplet is available to users aged 13 and older through the standard signup flow. Users under 13 may use Preplet through Kid Mode, a parent-in-the-loop experience that complies with the Children's Online Privacy Protection Act ("COPPA"). During signup you will be asked to provide your birth month and year. This is required to create an account and cannot be changed after onboarding except by contacting support. The Kid Mode flow and the parental consent mechanism are described in full in Section 6 of the Privacy Policy.

Kid Mode

A Kid Mode account (for a child under 13) includes the solo study tools — building study guides, flashcards, quizzes, summaries, and outlines from the child's own notes, photos, documents, and audio. To generate these materials, submitted content is sent to Google AI solely to build the requested study output; Google does not retain that input after delivery and does not use it to train any AI. Preplet keeps a recovery copy of the child's study content on our servers, authorized by the parent's consent and used only so the child can recover their materials if their device is lost. It is stored in Google Firebase, encrypted in transit and at rest by that service, and is deleted when the account is deleted. For a Kid Mode account we collect only the parent's email address and the child's birth month and year. CoWork (group study) is turned off for children under 13; it can be enabled only if a parent purchases a subscription and provides verifiable parental consent, because CoWork discloses the child's information to other users. A parent may withdraw consent or delete the child's account at any time by emailing Preplet from the registered parent email address (subject "revoke" to withdraw group-feature consent, or "delete account" to delete the account and its data). When a Kid Mode user reaches their 13th birthday (calculated from the birth month and year provided at signup), the account automatically transitions out of Kid Mode on next login and prompts the user to review the standard Privacy Policy and Terms.

Age-Based Data Collection

Data collection practices differ based on age and are described in detail in the Privacy Policy:

When a user reaches a qualifying age based on the birth month and year provided, data collection settings for new activity update automatically. Prior activity from when the user was younger is not retroactively reclassified.

Account Deletion

You may delete your account at any time from the in-app settings. Deleting your account removes your Personal Information from our active databases, subject to limited retention required by law, mandatory reporting obligations, enforcement of these Terms, and tax and accounting requirements. See the Privacy Policy for details.


4. Subscriptions and Payment

Subscription Plans

Preplet offers paid subscription plans, each available billed monthly or billed annually at a discount. The current plans, what each one includes, and the current prices are listed at preplet.ai/subscribe and on the purchase screens inside the app, which are the authoritative source. Prices, plan names and included allowances may change; any change applies from your next billing period, never retroactively to a period you have already paid for.

An annual plan is a single once-per-year charge. It may be presented in Preplet's upgrade screens as an effective per-month figure to make the saving legible, but the actual charge is one annual transaction, not a monthly installment.

Preplet also offers one-time purchases that are not subscriptions and do not renew, including a limited-duration access pass and add-on packs. These are described on the purchase screen at the point of sale. A non-renewing purchase grants what is described for the stated duration or quantity and then simply ends — there is nothing to cancel.

Subscription prices are subject to change. Any price changes will be communicated in advance and will take effect at the start of your next billing cycle.

Payment Processing

How your subscription is billed depends on where you buy it.

Purchases made inside the iOS or Android app. The purchase is processed by Apple's In-App Purchase or by Google Play Billing under that store's terms. Apple or Google is the seller of record, the payment method on file with that store is charged, and Preplet never receives your card details. Subscriptions bought this way renew automatically at the then-current price for the plan and term you selected, and are charged to your App Store or Google Play account within 24 hours before the end of the current period, until you turn off auto-renewal in your App Store or Google Play account settings.

Purchases made on the web at preplet.ai. Payment card information is processed by Stripe, a PCI-DSS Level 1 certified payment processor. For redundancy, if our primary processor is unavailable we may automatically route the transaction to a backup PCI-compliant payment processor. Preplet does not store your full card number — card details are handled directly by our payment processor(s). Web subscriptions also renew automatically for the plan and term you selected until cancelled.

Preplet receives transaction confirmation information (subscription type, purchase date, and contact information) but does not receive your full payment card details.

Server-Side Validation

Preplet validates your subscription state server-side and responds to subscription lifecycle events (renewals, refunds, billing grace periods, upgrades, expirations, cancellations) through webhooks — from our payment processor for web purchases, and from Apple's App Store and Google Play by way of RevenueCat for in-app purchases. Your subscription state on our servers is authoritative; client-side claims of Premium status are not.

Grace Period

If a subscription renewal fails, our payment processor provides a billing grace period during which your access to Premium features, including CoWork hosting and contribution, is preserved. You will be prompted to update your payment method during the grace period. If the issue is not resolved by the end of the grace period, your subscription will lapse and your account will transition to Freemium per Section 5 below.

Refund Policy

Due to the digital nature of the Services, refunds are provided only in cases where a technical malfunction or defect prevents you from accessing or using the features included in your subscription, and we are unable to resolve the issue. To request a refund, contact our support team at info@preplet.ai within 5 days of your purchase with a detailed description of the issue. Requests received after that window are not eligible under this policy.

Where a refund is granted, the amount depends on how much of the billing period's included allowance you have already used. If you have used 10% or less of the allowances included in the period, a full refund of that period may be issued. If you have used more than 10%, any refund issued will be reduced in proportion to the value already consumed. This is because the underlying AI processing costs are incurred by Preplet at the moment you use the feature and cannot be reversed.

Refund requests are also subject to the payment processor's policies. Preplet acts on refund events received through the payment processor's webhooks and will downgrade affected accounts accordingly.

Premium Features

Premium subscribers receive access to the following features in addition to the free tier:

Some features may be described in Preplet's marketing materials as planned or upcoming. Anything not listed above is not part of what a subscription entitles you to today, and no planned feature forms part of this agreement until it actually ships.

The specific features included in premium subscriptions may change over time. We will communicate any material changes to premium features in advance.

Cancellation

You may cancel your subscription at any time. Where you cancel depends on where you bought it. If you subscribed inside the iOS app, manage or cancel it in your Apple account (Settings > your name > Subscriptions on your device). If you subscribed inside the Android app, manage or cancel it in the Google Play Store (Payments & subscriptions > Subscriptions). If you subscribed on the web, cancel through your Preplet account or the payment processor's customer portal. Refunds for in-app purchases are requested from, and granted by, Apple or Google under their own policies; refunds for web purchases are handled as described under Refund Policy above. Upon cancellation, you will retain access to premium features until the end of your current billing period. After the billing period ends, your account will revert to the Freemium tier as described in Section 5.

Delivery

All Services are delivered digitally. Upon purchase or account creation, you receive immediate access to the applicable features. No physical goods are shipped.


5. Downgrade and Freemium Soft Archive

When your Premium subscription ends (by cancellation, lapse, or refund), your account is not deleted and your content is not destroyed. Preplet uses a soft-archive model so that the path back to Premium is always frictionless:

Preplet respects the intellectual property rights of all individuals, including educators, authors, and institutions.

Violation of this policy may result in the removal of content, restriction of CoWork access under Section 9, suspension of account access, permanent termination of your account, or legal action.


7. AI-Generated Content

Preplet uses Preplet AI, including its voice features, to generate study materials, quiz questions, flashcards, notes, lecture transcripts, voice-session transcripts, and other educational content. Preplet AI uses Google AI to process study-guide generation and transcription. The content you submit — your typed text, PDFs and photos of your materials, and audio recordings — together with your app language setting, is sent to Google AI solely to return your results. Google does not retain that input after your results are delivered and does not use it to train any AI model.

Preplet asks for your permission in the app, on a dedicated screen, before any of your content is sent to Google AI, and that screen names what is sent and who it is sent to. Preplet AI features — study-guide builds, chat, AI transcription, translation, and voice — stay off unless the permission is in place; the rest of the Services remain available. Your permission applies to your account rather than to a single device, and each answer you give is recorded.

Voice Transcripts in Study Room Live Mode (not yet available)

Study Room Live Mode is not available in the current release, and nothing in this subsection applies until it ships. It is described here so the rules governing it are known in advance. When it becomes available, you speak directly to Preplet AI and Preplet AI generates a text transcript of the conversation. At the end of each Live Mode session, you choose one of three dispositions: share the transcript with your CoWork group, keep it privately in your CoWork notes for that group, or discard it. Discarded transcripts are not written to our database. Other users in the group do not hear the live audio. Voice transcripts are subject to the same content rules as every other Preplet AI output.


8. User-Generated Content and CoWork Community Guidelines

Preplet's CoWork Sessions feature lets you collaborate with other users in small, invite-only study groups. CoWork includes shared study sessions, a group chat with a Chat button and a Preplet button, a collaborative Board (markdown notes), an activity feed, scheduled events, and Study Room Live Mode voice sessions in a future release. This section governs the content you contribute to CoWork and the behavior expected of every member.

8.1 Your License to Preplet

You retain ownership of the content you create or upload to the Services. By submitting content to CoWork — whether through shared sessions, chat messages, Board edits, voice transcripts, uploaded images and audio, or any other CoWork surface — you grant Preplet a worldwide, non-exclusive, royalty-free license to store, host, reproduce, transmit, display, and process that content solely for the purposes of operating, improving, and providing the Services to you and to the other members of your groups, enforcing these Terms, and complying with our legal obligations. You represent that you have the right to submit the content and that doing so does not violate any third-party rights.

8.2 Visibility Inside a Group

Content you post to a CoWork group is visible to every member of that group as an inherent function of the collaborative product. You should treat anything you post to a CoWork group as visible to all group members. Email addresses are visible only to the group host; non-host members see display names and avatars.

8.3 Community Guidelines — Prohibited Conduct

When using CoWork (or any user-visible surface of the Services, including display names and group names), you agree not to:

8.5 Reports, Blocks, and Host Controls

CoWork content posted by other members can be reported. A report control appears on every chat message you did not send and on every item shared to the group Board, both in the Board list and when you open an item to read it. Reports are delivered to a secure review queue for human review. Group hosts can remove any member at any time, which immediately terminates that member's access to the group.

8.6 Mandatory Reporting of Child Sexual Abuse Material

Under 18 USC 2258A, Preplet is required to report apparent child sexual abuse material (CSAM) to the National Center for Missing and Exploited Children (NCMEC) through the CyberTipline. A report flagged as a severe violation immediately suspends the account involved and preserves the associated content, account identifiers, and metadata as required by law. The matter is then reviewed by a person at Preplet and, where the material appears to be CSAM, reported to NCMEC as federal law requires. This obligation is not waivable and applies regardless of intent, context, or subscription status. Section 8.5 of the Privacy Policy describes these controls, and their current limits, in full.


9. CoWork-Only Strike Ladder

Preplet enforces Community Guidelines violations in CoWork with a four-step CoWork-only strike ladder. The ladder restricts CoWork access only. Solo study features, Talk to Preplet in personal sessions, and all non-CoWork app functionality remain available at every step, including after permanent CoWork loss. The principle is: keep the customer, restrict the feature.

Strike levels are retained after an account is deleted, so that deleting and re-creating an account does not reset an active restriction.

Strikes 1-3 decay after 12 months of clean record. Strike 4 does not decay. Severe violations — including child sexual abuse material, illegal content, targeted harassment, credible threats of violence, and attempts to circumvent safety systems — skip the ladder entirely and result in full account suspension and, where applicable, legal reporting.

Ban state is enforced at the Firestore security rule level, not only in the user interface, and is checked on every write to CoWork chat, Boards, sessions, and related surfaces.

If you believe a strike was issued in error, email info@preplet.ai from the address on your account with a description of what happened. Appeals are reviewed by a person and resolved within a reasonable time. A strike consequence remains in effect while an appeal is under review.


10. Honor Code

Preplet is built to support genuine learning. Our AI-powered tools, including quiz generation, flashcards, notes, Talk to Preplet, and CoWork's collaborative surfaces, are designed to help you study more effectively, not to circumvent the learning process.

The following uses of the Services are strictly prohibited:

Preplet reserves the right to suspend, terminate, or restrict accounts found to be in violation of this Honor Code. We may cooperate with educational institutions investigating academic integrity violations, including sharing relevant account information, CoWork group content, and shared study material when required by law or institutional policy. Honor Code violations inside CoWork may be enforced either through the strike ladder in Section 9 or through direct account-level action, depending on severity.

We believe that effective learning comes from engagement with the material, not from shortcuts. Preplet is a tool to help you understand and retain knowledge, and we ask that all users respect that purpose.


11. Intellectual Property

All content, features, and functionality of the Services, including but not limited to the software, design, text, graphics, logos, and icons, are the property of Preplet and are protected by copyright, trademark, and other intellectual property laws. You retain ownership of the content you create or upload, subject to the license granted in Section 8.1.

AI-generated study materials produced by the Services in response to your input are provided for your personal educational use. You may not commercially distribute, sell, or license AI-generated output from the Services.


12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PREPLET DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

PREPLET DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY AI-GENERATED CONTENT. YOU ACKNOWLEDGE THAT AI-GENERATED CONTENT MAY CONTAIN ERRORS AND SHOULD NOT BE RELIED UPON AS A SOLE SOURCE OF INFORMATION.

PREPLET DOES NOT WARRANT THE ACCURACY, APPROPRIATENESS, OR LEGALITY OF CONTENT POSTED BY OTHER USERS IN COWORK GROUPS. YOU INTERACT WITH OTHER COWORK MEMBERS AT YOUR OWN RISK AND ARE RESPONSIBLE FOR DECIDING WHICH GROUPS TO JOIN AND WHICH INVITES TO ACCEPT.


13. DMCA Designated Agent

Because CoWork lets users post study content, chat, and Board edits visible to other group members, the Services function as a user-generated content host for the purposes of the Digital Millennium Copyright Act ("DMCA"). Preplet maintains a designated agent for receiving notices of claimed copyright infringement under 17 USC 512(c).

A valid DMCA notice must include:

Upon receipt of a valid DMCA notice, Preplet will act expeditiously to remove or disable access to the allegedly infringing material and will notify the affected user. Affected users may submit a counter-notice under 17 USC 512(g) containing the elements required by that section.

Preplet maintains a repeat-infringer policy and may terminate the accounts of users who are repeat infringers in appropriate circumstances.


14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PREPLET AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF PREPLET HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

PREPLET'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO PREPLET IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.


15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of California.


16. Dispute Resolution, Arbitration, and Class Action Waiver

Please read this section carefully — it affects your legal rights. It requires most disputes to be resolved by binding individual arbitration rather than in court, and waives your right to participate in a class action.

Informal resolution first. Before starting an arbitration, you agree to contact us at info@preplet.ai and give us at least 30 days to resolve the dispute informally.

Binding arbitration. Except as stated below, any dispute, claim, or controversy arising out of or relating to these Terms or the Services that is not resolved informally will be resolved by final and binding arbitration administered by a recognized arbitration provider (such as the American Arbitration Association) under its applicable consumer arbitration rules, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.

Class action waiver. You and Preplet agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any class or representative proceeding.

Jury trial waiver. To the maximum extent permitted by law, you and Preplet waive any right to a jury trial.

Small-claims and exceptions. Either party may bring an individual claim in small-claims court if it qualifies, and either party may seek injunctive or equitable relief for infringement or misuse of intellectual property.

Your right to opt out. You may opt out of this arbitration and class-action-waiver section by emailing info@preplet.ai within 30 days of first accepting these Terms, stating your name and that you opt out. Opting out will not affect any other part of these Terms.

Minors. Where a user is a minor, this section is intended to bind the parent or legal guardian who agrees to these Terms on the minor's behalf, to the extent permitted by applicable law.


17. General

Changes to these Terms. We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by posting the updated Terms with a new "Last updated" date or notifying you in the app or by email). Your continued use of the Services after the changes take effect constitutes acceptance.

Entire agreement. These Terms, together with the Privacy Policy and any policies referenced here, are the entire agreement between you and AXS Group Inc regarding the Services and supersede any prior agreements.

Severability. If any provision is held invalid or unenforceable, it will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

Force majeure. We are not liable for any failure or delay in performance caused by events beyond our reasonable control.

Survival. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and dispute resolution) will survive.
